Nvidia Issues $25 Billion in Bonds, Oversubscribed by Over Three Times, Largest Financing in Company History

Nvidia issued $25 billion in senior unsecured bonds in June 2026, with maturities ranging from 2 to 30 years. The offering attracted $85 billion in orders, representing an oversubscription rate of over three times. This marks Nvidia's first corporate bond issuance since 2021 and the largest bond financing in the company's history. Goldman Sachs, JPMorgan Chase, and Morgan Stanley acted as joint underwriters, with S&P assigning an AA rating.

Financing Background and Motivation

Nvidia holds $13.24 billion in cash on its balance sheet, with fiscal year 2026 revenue of $216 billion and a single-quarter net profit of $43 billion, indicating a healthy financial position. The primary uses of the bond proceeds include general corporate purposes, repayment of existing debt, and establishing a liquidity benchmark for credit costs. Additionally, bond financing is cheaper than equity financing and does not dilute shareholder equity, helping to lower the average cost of capital.

Market Reaction and Pricing

The initial plan was to issue $20 billion, but strong demand led to an increase to $25 billion. The spread on the 30-year bond tightened from an initial pricing of 90 basis points to 65 basis points, reflecting strong investor confidence in Nvidia's creditworthiness.

Industry Context

Since 2025, tech giants such as Alphabet, Amazon, and Meta have been raising funds through the bond market for AI infrastructure. According to Morgan Stanley data, global AI-related bond issuance reached $236 billion by the end of May 2026, a 357% year-over-year increase. Nvidia's bond issuance is one of the largest single offerings in this wave.

Strategic Layout

Nvidia is iterating its products at a "one generation per year" pace, from H100 to Blackwell and then to the Rubin platform. At GTC 2026, Jensen Huang revealed that total orders from Blackwell to Vera Rubin are expected to exceed $1 trillion by 2027. Meanwhile, Nvidia has partnered with MediaTek to launch the RTX Spark intelligent agent computing platform, entering the PC chip market. The company's strategic focus is shifting toward AI PC chips and enterprise-level computing infrastructure.
